By accessing or using the Platform, registering as a User or Customer, availing services or integrating our APIs, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Platform.

1. Definitions
  • User / Customer / Client — any natural or legal person who registers on or uses the Platform to access travel products and services. For B2B users this includes travel agents, tour operators, enterprises and resellers.
  • Supplier — third-party vendors such as airlines, hotels, bus operators, transfer providers, insurance companies, payment gateways, and other service providers whose inventory or services are accessible via the Platform.
  • Booking — a confirmed reservation for a travel product or service made via the Platform.
  • Wallet / Credit— electronic balances maintained on the Platform for use by agents or customers as per our wallet/credit policy.
  • API — application programming interface(s) provided by Excellis for integration with third-party systems, agents or partners.
  • White-label Solution — a branded front-end or portal provided to Customers for use under their branding.
2. Acceptance of Terms

By registering, placing orders, integrating our APIs or otherwise using the Platform you accept and agree to be bound by these Terms, our Privacy Policy and any other policies posted on the Platform. You represent that you have authority to bind the organisation you represent.

3. Services Provided

Excellis provides technology and distribution services including, but not limited to:

  • White-label booking portals and agent dashboards;
  • Aggregated inventory via flight, hotel, bus, holiday package and other Supplier APIs;
  • Booking, ticketing, cancellations, refunds (subject to Supplier rules);
  • Agent and sub-agent management, wallet & credit facilities;
  • Analytics, reporting and reconciliation tools; and
  • Developer APIs, SDKs and sandbox environment for integrations.

We may change, add or remove features at our discretion. Specific functionality and SLAs may be defined in separate commercial agreements.

4. Registration & User Obligations
  • Users must provide accurate and complete information during registration and keep it updated.
  • Each User is responsible for safeguarding its account credentials and for all activity under the account. Notify us immediately of any unauthorised access.
  • Users must comply with applicable laws, airline/hotel/bus rules, and Supplier terms.
  • You shall not use the Platform for illegal or fraudulent activities or to infringe third-party rights.
5. Bookings, Confirmations & Supplier Terms
  • Excellis acts as a technology platform and intermediary. All bookings are subject to the terms, conditions, rules and availability set by the relevant Supplier.
  • Booking confirmations are issued subject to Supplier acceptance and availability. In some cases ticketing/confirmation is instantaneous; in others final confirmation is only after Supplier approval.
  • Fare, availability and other booking elements may change until Supplier confirms the booking. Excellis does not guarantee price or availability until confirmation.
  • Any ancillary services (seat selection, meals, upgrades) provided by Suppliers are subject to Supplier policies and charges.
6. Payment, Pricing & Taxes
  • Pricing displayed on the Platform includes fees and charges as stated. Unless otherwise stated, prices exclude applicable taxes (GST, service tax, VAT or other local taxes), which will be charged as applicable.
  • Payments may be accepted via payment gateways, wallet/credit, bank transfer or other methods as provided on the Platform. Payment terms for B2B customers will be as per separate commercial agreement.
  • Refunds (if any) will be processed in accordance with Supplier refund rules and our refund policy. We may deduct applicable cancellation or processing fees before refunding.
  • All settlements and invoicing will reflect applicable taxes and statutory requirements. Clients are responsible to provide correct tax/GST details for invoicing.
7. Wallets, Credits & Settlements
  • Wallets and credits are subject to the Platform wallet policy. Credits are non-transferable and non-redeemable for cash unless specified.
  • Excellis may suspend wallet usage if suspicious activity is detected, until verification.
  • Settlement cycles and payout terms for agents and partners will be governed by separate agreements or the wallet policy.
8. Cancellation, Amendment & Refunds
  • Cancellation, amendment and refund rights depend on Supplier policies and fare rules. Excellis will attempt to facilitate cancellations and refunds but is not responsible for Supplier denials.
  • Any cancellation or amendment fees charged by Suppliers and any handling fees applied by Excellis will be borne by the Customer as per the rules.
  • For refunds processed by Suppliers, Excellis will follow the Supplier’s timelines; we are not responsible for delays due to Supplier processes or bank/payment gateway timelines.
9. Liability & Limitation of Liability
  • Excellis provides the Platform on an “as-is” and “as-available” basis. We disclaim all warranties to the maximum extent permitted by law.
  • To the extent permitted by law, Excellis’s aggregate liability under or in connection with these Terms (whether in contract, tort, negligence or otherwise) shall be limited to the amount actually paid by the User to Excellis in the 12 months preceding the claim.
  • Excellis shall not be liable for: loss of profit, loss of business, loss of reputation, indirect, special, consequential or incidental damages, or any loss arising from a Supplier’s actions, failure, insolvency or third-party acts.
  • Nothing in these Terms shall exclude liability for death or personal injury caused by our negligence or for any other liability which cannot be excluded under applicable law.
10. Third-Party Suppliers & Disclaimer
  • The Platform connects Users to Suppliers. Excellis is not the operator of the transportation or accommodation services and does not control Supplier operations. All rights and liabilities in respect of the actual travel service are between the User and the Supplier.
  • We do not guarantee the quality, safety or fitness of Supplier services. Customer complaints against Suppliers shall be taken up directly with the Supplier; Excellis may assist as a facilitator.
11. API Access, Usage & Restrictions
  • API keys and sandbox credentials are issued to registered Users and must be kept secure. API access is governed by separate API terms and acceptable use policy.
  • You shall not misuse APIs (overload requests, reverse engineer, scrape data, share API keys) or use them for illegal activities. Excellis may throttle, suspend or revoke API access for abuse.
  • Any bespoke integrations or custom work will be governed by a separate statement of work (SOW) or commercial agreement.
12. Intellectual Property
  • All intellectual property rights in the Platform, content, documentation, APIs, software and trademarks belong to Excellis or its licensors. Users are granted a limited, non-exclusive, non-transferable licence to use the Platform as expressly permitted.
  • Users shall not copy, modify, distribute, create derivative works, or use Excellis trademarks without prior written consent.
13. Confidentiality
  • Each party shall keep confidential the other party’s Confidential Information and not disclose it to third parties except as required by law or with prior consent. Confidential Information does not include information that is public or independently developed.
14. Data Protection & Privacy
  • Personal data collected and processed through the Platform shall be handled in accordance with our Privacy Policy. Users must ensure that they have obtained necessary consents for using personal data where required by law.
  • Excellis shall take commercially reasonable measures to protect personal data, but Users are responsible for their own data handling and compliance as it relates to their use of the Platform.
15. Force Majeure
  • Excellis is not liable for delays or failures to perform due to force majeure events beyond our reasonable control (natural disasters, acts of government, strikes, network or power failures, epidemics, Supplier failures, etc.). Where feasible, we will notify Users and take reasonable steps to mitigate the impact.
16. Suspension & Termination
  • Excellis may suspend or terminate access to the Platform or specific services for Users who breach these Terms, engage in fraudulent conduct, fail to pay, or for security reasons. We may also terminate services with notice where required.
  • Termination does not relieve either party of outstanding obligations or liabilities accrued prior to termination.
17. Indemnity
  • The User shall indemnify, defend and hold Excellis harmless from any claims, losses, liabilities, damages, costs or expenses (including reasonable legal fees) arising from: (a) User’s breach of these Terms; (b) User’s negligence, fraud or wilful misconduct; (c) use of the Platform in violation of law or third-party rights.
18. Modifications to Terms
  • Excellis may update these Terms from time to time. We will post the revised Terms on the Platform with the effective date. Continued use after changes constitutes acceptance of the revised Terms. For material changes affecting your rights, we will provide prior notice where practicable.

20. Governing Law & Dispute Resolution
  • These Terms are governed by the laws of India. All disputes shall be referred to arbitration in Kolkata (or another city you choose) under the Arbitration and Conciliation Act, 1996, or will be subject to exclusive jurisdiction of courts in Kolkata, India — as specified in your commercial policy. (Decide whether to prefer arbitration or court jurisdiction and specify).
21. Severability
  • If any provision of these Terms is held unlawful or unenforceable, such provision will be modified or severed to the minimum extent necessary and the remaining provisions will remain in full force.

23. Miscellaneous
  • No waiver shall be effective unless in writing and signed by an authorised representative.
  • These Terms, together with any commercial agreements and policies posted on the Platform, constitute the entire agreement between the parties regarding the Platform.
